Ionis Group Employee and Job Applicant Data Privacy Notice

About This Notice  

As an employee, contractor, or job applicant of Akcea Therapeutics Ireland Ltd., Akcea Therapeutics UK Ltd., or Akcea Therapeutics Germany GmbH (together with Ionis Pharmaceuticals, Inc., Akcea Therapeutics, Inc., and Ionis Developments (Ireland) Limited, the “Ionis Group”), you provide us with personal data throughout your employment/work with us. In addition, information relating to you but coming from us or third parties is also treated as personal data.  The detailed Full Notice describes in more detail how the Ionis Group collects and uses your personal data in connection with your employment/work.

The Personal Data We Collect And Use

The personal data we collect and use includes:

  • your name, address, contact details, and citizenship status;
  • the details included in your contract of employment/work, including the conditions of your employment/work;
  • your pay and benefits;
  • tax and bank details;
  • details relating to your working hours, periods of leave and absence;
  • your training and health & safety records; and
  • your performance records.

Ionis Group may, where appropriate and in accordance with applicable law, review publicly available social media and other public sources to verify prior or current employment and/or to address potential workplace safety concerns.

How Personal Data Is Used

We collect and use this personal data to manage our relationship with you effectively, lawfully, and fairly. This means using your personal data to enable us to:

  • meet the terms of your employment/work contract;
  • comply with our legal obligations;
  • protect our respective rights; and  
  • subject always to your rights, pursue Ionis’ legitimate best interests.

Sharing of Personal Data

Each Ionis Group company may transfer your Personal Data to other group companies and third parties (e.g., business partners, customers, benefits providers), acquiring or acquired entities, service providers, and, in accordance with applicable law, governmental authorities, courts, external advisors, and similar third parties. Some recipients may be located outside the EU or UK. For more details, see the Full Notice (IV) below.  

Retention Periods and Deletion  

Your Personal Data will be deleted once no longer needed for the purposes of the original collection or as required by applicable law. For more details, see the Full Notice (V).

Data Protection Notice For Employees, Contractors and Job Applicants

This notice relates to personal data the Ionis Group collects and processes during your employment/work with us and gives you more details about what we do with it. It also lets you know your rights. Please also read our separate statements detailing how we use your personal data in specific cases, such as CCTV or the use of your photograph.

I. The Personal Data We Collect and Use

As an employee/worker of the Ionis Group, you provide us with personal data throughout your employment/work with us.  Personal data is any information that relates to you. It includes information relating to you created by us in connection with your employment/work or received from others.  

In addition to your name, the personal data we collect and use includes:

  • Personal details, such as your home address, private email address, citizenship, nationality, birth date, country of birth, emergency contact details, family status, dependents details, employment/work history and education history, passport details, bank details, right to work status, driving license, results of criminal background checks.
  • Employment/work details, job title, User ID, Personal ID and work email address(es), work location, division, department, position level, details included in your employment/work contract and conditions, start and end date, and reason for leaving.
  • Pay and benefit details, such as your basic salary, bonus and commission entitlements, insurance benefits, salary information, and information relating to your company pension, any company loan, company credit cards, attachments of salary, and capital-forming benefits.
  • Tax and benefit details, such as your social security number (or local equivalent), tax code, tax status, tax deductions, and payments.
  • Work details, such as working hours, periods of leave and absence, assigned tasks and projects, and business travel data.
  • Performance details, such as performance reviews, evaluations and ratings, disciplinary allegations, disciplinary process and disciplinary warnings, details of grievances, and any outcome.
  • Training, health & safety and wellbeing details, such as ethics and compliance training data, information related to talent management, health and safety records, information concerning your health, sickness, disability and absences, drug and alcohol test results, records related to accidents, investigations and outcomes.
  • Personal data in communications and systems, such as correspondence and documentation, information related to your use of company equipment, systems, and other resources, including IP addresses and similar data about you.

II. What We Use Your Personal Data For, and The Legal Bases On Which We Use It  

Ionis Groups collects and uses your personal data for the purposes described below.  

Meeting Our Contractual Obligations (Article 6(1)(b))

As your employer/contractor, we must meet the terms of our employment or work contract with you. As our employee or contractor you are also expected to meet the terms of that contract.

We use your personal data where necessary for ensuring our respective obligations are met in respect of your employment/work contract, including:

  • providing you with employment/work, and allocating you tasks and duties;
  • providing your contractual entitlements, such as pay, benefits, holidays and the reimbursement of expenses; and
  • managing our relationship as employer and employee, or as contractor.

If you do not wish us to use your personal data for these purposes, we will not be able to perform our contract of employment/work with you.

Meeting Our Legal Obligations (Article 6(1)(c)

As your employer/contractor, we have many legal obligations to you and others. We use your personal data where necessary for ensuring our legal obligations are met in respect of your employment/work, and the work you undertake as one of our employees/contractors, specifically:

  • complying with applicable laws, including (where applicable) employment, tax, corporate compliance and health and safety, and the administration of those requirements, such as income tax, national insurance deductions, and employment and immigration laws;
  • responding to and complying with requests and legal demands from regulators or other authorities in or outside of your country;
  • to cooperate with, or to inform, law enforcement or regulatory authorities to the extent required by law in or outside of your country; and
  • ensuring the safety and security of third parties’ personal data.

In Ionis Group’s Legitimate Interests (Article 6(1)(f))

Some of your personal data is used in our legitimate business interests for the effective delivery and management of our activities, provide you with access to business services and manage our human resources systems and policies. This includes:

  • Administering the workforce, including managing work activities, providing performance evaluations and promotions, producing and maintaining corporate organization charts, matrix management, entity and intra-group-entity staffing and team management, managing business travel, carrying out workforce analysis, conducting talent management and career development, leave management/approvals, providing references, and administering ethics and compliance trainings;
  • measuring, monitoring, auditing and improving operational practices and performance, including compiling key performance statistics, benchmarking, and business development;
  • providing management and operational data to other Ionis companies;
  • identifying and managing risks;  
  • implementing and maintaining responsible employment practices;
  • operating good governance and compliance practices;
  • implementing and maintaining best practice, including in respect of the management of your welfare;
  • Ensuring compliance with applicable Ionis Group procedures, including the whistleblowing hotline, physical/IT/network security, and internal investigations;
  • Communicating with you, other employees, within the group, and/or third parties (such as existing or potential business partners, suppliers, customers, end-customers or government officials;  
  • Communicating with your designated contacts in case of emergency;
  • Security and fraud prevention activities such as prevention of fraud, misuse of IT systems, or money laundering, physical security, IT and network security, or internal investigations;
  • Corporate financial responsibilities, including internal/external audits and cost/budgeting analysis and control; and  
  • Supporting any claim or defense before any jurisdictional, and/or administrative authority, arbitration or mediation panel.

Personal Information Relating To Your Health

During the course of your employment/work, it is likely we will use personal data relating to your health, such as:

  • health and safety records, including records related to accidents, investigations, and outcomes;
  • sickness and absence records that disclose information relating to your health; and
  • information concerning your health in the context of our management of your wellbeing or performance as an Ionis employee/contractor.

We do this when it is necessary:

  • to carry out our obligations, or exercise our rights as your employer/contractor (Article 9(2)(b));  
  • for the purposes of occupational medicine or the assessment of your working capacity as an employee/worker (Article 9(2)(h)); or
  • to establish, exercise or defend legal claims (Article 9(2)(f)).

Automated Decision Making

Ionis does not currently use automated decision-making technology (“ADMT”). If Ionis implements ADMT in the future, the Company will follow notice and consent procedures in accordance with applicable law(s).

IV. Sharing Your Personal Data  

To ensure we can meet our obligations to you and other stakeholders in the most efficient and effective way, we may share your personal data with third parties. The categories of third parties with whom we share your personal data are detailed below.

Your personal data is not shared with anyone else except other companies in the Ionis Group for the purposes described above. Where those companies are based outside Europe, the transfer of your personal data is subject to safeguards we have implemented to ensure it is protected in accordance with the requirements of data protection law. We can provide further details of how these transfers are protected on request from the Ionis Group Data Privacy Officer via [email protected].

Third Parties: Government agencies and regulators (e.g., tax authorities), social insurance carriers, courts, and government authorities, all in accordance with applicable law based on GDPR Art. 6(1)(c) and to external advisors (e.g., lawyers, accountants, auditors etc.) based on GDPR Art. 6(1)(f).  

Service Providers (within and outside the group): Ionis Group contracts with third party service providers (like payroll administrators, talent management providers, benefit and equity administrators, IT systems and support providers). These third parties can only use the personal data we share to provide their services to us. Where your personal data is in electronic format, it is stored on our own systems (or systems under our control), and also with third-party data storage providers.

V. How Long Personal Data Is Retained

Your personal data will be retained for as long as is necessary to fulfil the purpose for which it is collected and used (e.g., for the provision of ongoing pensions and other benefits, or for compliance with data retention obligations under applicable law), or, if longer, the period required by law. If a judicial or disciplinary action is initiated, the Personal Data may be stored until the end of such action, including any potential periods for appeal, and will then be deleted or archived as permitted by applicable law. Where continued retention is not necessary, your personal data will not be retained for more than six years after the date you cease to be employed by/contracted with the Ionis Group.

VI. Your Rights

Subject to the limitations and requirements of applicable law, including the GDPR or UK GDPR, you have the following rights:  

  1. Right To Withdraw Consent 
    Where we have asked for your consent for our use of your personal data, you can withdraw that consent at any time. Once your request has been verified, we will stop using the personal data. This only applies in respect of use where your consent has been provided. Withdrawing your consent does not affect our use of personal data up to the time the consent is withdrawn or our use of data to manage contractual obligations, legal obligations, or our legitimate business interests.
  2. Right of Access: You have the right to know whether we are collecting and using your personal data, and to request access to the personal data.  You have the right to obtain a copy of your personal data undergoing processing.  
  3. Right to Rectification: You have the right to request the correction of inaccurate personal data concerning you. You may also have the right to have incomplete personal data completed, including by means of providing a supplementary statement.  
  4. Right to Erasure (to be forgotten): You have the right to ask us to erase your personal data.
  5. Right to Restriction of Processing: You have the right to request that we restrict the processing of your personal data.
  6. Right to Object: Where we process your personal data for purposes we consider to be in our legitimate interest, you have the right to object to this processing.

You also have the right to lodge a complaint with the competent supervisory authority.  Generally, you may do so in the Member State or country of your habitual residence, place of work or the place of the alleged infringement. For example:

  • For employees/workers based in Ireland, with the Irish Data Protection Commission (DPC) (see www.dataprotection.ie)
  • For employees/workers based in Germany, with the competent data protection authority of your federal state (an overview is available at www.bfdi.bund.de).
